Two firms (LLC1 and LLC2) have one founder and director. At the end of 2020, the director and founder changed in one of the companies (OOO2). At the same time, in 2023 LLC2 cedes the right to claim the debt to a third party under an assignment agreement to LLC1.

Is it possible to recognize such an assignment agreement as invalid on the grounds of affiliation of persons?

Signs of affiliation (interest) in the transaction are established at the time of its completion. In the situation under consideration, at the time of the transaction, the directors and founders of the parties to the transaction are different persons. We see no grounds for recognizing the transaction as invalid in such circumstances.
